Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sierra Realtime platform — including the web app, mobile apps, desktop apps, and public API ("Service") — provided by Epic Essentials ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & account

You must be at least 16 years old to use the Service. You're responsible for keeping your password secret and for all activity under your account. Notify us immediately at security@epicessentials.xyz if you suspect unauthorized access.

If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you individually and your organization.

2. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes, harassment, or to harm others.
  • Reverse engineer, decompile, or attempt to circumvent security or rate limits.
  • Upload malware, spam, or content that infringes intellectual-property or publicity rights.
  • Record or transcribe a meeting without complying with applicable consent laws (some jurisdictions require notice to all participants).
  • Resell, sublicense, or white-label the Service without a separate written agreement.
  • Use the Service to build a competing product, including via scraping or large-scale automated access.

3. Your content

You own everything you upload, send, record, or transcribe ("Your Content"). You grant us a non-exclusive, worldwide license to host, transmit, encode, and display Your Content solely for the purpose of operating the Service for you and anyone you share it with.

We don't claim ownership of Your Content, and we don't use it to train any machine-learning model.

4. Plans, payment, and trials

Free trials, paid plans, and any custom enterprise terms are described at the time you subscribe. Subscriptions auto-renew at the end of each term unless you cancel before renewal. Refunds are at our discretion and follow the policy posted on your billing page.

Where Sierra Realtime is self-hosted by your organization, payment terms are governed by the separate Master Services Agreement signed at order time.

5. Termination

You can terminate your account any time via Settings → Danger Zone. We can suspend or terminate accounts that violate these Terms, with notice when reasonable. On termination, we delete your account data within 30 days, except where retention is required by law or by your organization's eDiscovery / legal-hold rules.

6. Service availability

We aim for 99.9% monthly uptime for the platform-hosted product but do not guarantee uninterrupted operation. Scheduled maintenance is announced in advance via the in-app status banner. Real-time platform status: /status.

7. Intellectual property

Sierra Realtime, the Sierra logo, the platform UI, and the underlying code are the property of Epic Essentials and our licensors. These Terms grant you a limited, non-transferable, revocable license to use the Service in accordance with these Terms — nothing more.

Open-source components are licensed separately under their respective licenses (see the in-app credits page).

8. Third-party integrations

When you connect a third-party SaaS (Slack, Jira, etc.), your use of that third party is governed by their own terms. We're not responsible for third-party services' availability or behavior. Disconnecting an integration revokes our access immediately.

9. Disclaimers

EXCEPT AS REQUIRED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.

11. Indemnification

You agree to indemnify and hold us harmless from any third-party claim arising from (a) Your Content, (b) your violation of these Terms, or (c) your violation of applicable law.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts of Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be announced in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
